About the Role:

We are seeking a Corporate & Startup Attorney with expertise in cross-border transactions between India and the U.S. The ideal candidate will advise founders, startups, and investors on ownership structuring, entity formation, venture financing, and M&A transactions. This role includes representing companies in mergers, acquisitions, and private placements of securities, with a focus on companies that have subsidiaries or holding companies incorporated in India. The attorney will counsel investors on investments in U.S. startups with a presence in India, ensuring compliance with cross-border regulations.


Tasks:

Advise clients on ownership structuring and entity formation, ensuring compliance with U.S. and Indian legal frameworks.

Draft, review, and negotiate governing documents and key business contracts, including partnership agreements, investment agreements, and commercial contracts with third parties.

Interpret corporate laws, rulings, and regulations for startups, investors, and businesses engaged in cross-border transactions.

Prepare, draft, and review legal documents, including securities offerings, term sheets, and private placement memoranda for venture capital transactions.

Advise clients on raising capital through private placements of securities, ensuring compliance with securities regulations in the U.S. and India.

Counsel clients on cross-border mergers and acquisitions (M&A), including due diligence, negotiation, and deal structuring.

Assist U.S. and Indian investors in navigating Indian regulatory requirements for foreign direct investments (FDI) and cross-border transactions.

Ensure compliance with U.S. and Indian securities laws, foreign exchange regulations (FEMA), and other applicable financial laws.

Education and Experience:

LL.M. or J.D. from an accredited U.S. law school
At least five years of experience as a corporate lawyer

Licensed to practice law in the State of Texas.

Licensed by the Bar Council of India [OPTIONAL].

Extensive knowledge of U.S. and Indian corporate structures, securities laws, and foreign investment regulations.

Expertise in structuring joint ventures, private equity deals, and venture capital financing deals in the U.S. and India.

Deep knowledge of Indian business laws, including FDI regulations, FEMA, and RBI guidelines.
